Speaking and MCing Booking Agreement

For an enjoyable and effective working relationship, please read these general terms and conditions and let me know if you'd like to negotiate or change anything.

Obligations

Yours

To ensure you get the most from my services, you agree to:

  • provide me with all reasonable assistance to allow me to deliver the services in a timely and professional manner;
  • do all things necessary to fulfil my AV and venue requirements (if I'm speaking); and
  • pay my fee on time and email remittance advice as soon as possible to paul@paulmcgregor.co.nz.

Mine

When delivering my services to you, my team and I agree to comply with:

  • any relevant and applicable laws;
  • any health and safety requirements applicable at the venue; and
  • any reasonable directions given by you.

Fees and costs

Service fee

I will provide an invoice within 14 days of you agreeing to these terms:

  • If the services fee is under NZ$5,000 I will invoice you for the entire fee (payable within 14 days).
  • If the fee is over NZ$5,000 I will invoice you for the entire fee with
    • 50% due within 14 days; and 
    • the balance due at least 30 days before the delivery date.

Your up-front payment is required because your request for my services effectively removes me from the market for the agreed delivery period. Your prompt payment allows my team and I to begin all preparation work.

Travel and accommodation costs

Unless otherwise agreed, the following expenses will be payable by you:

  • Travel costs (including both air and ground transport costs)
  • Accommodation costs (preferably hotel or motel accommodation). 

Changes and cancellations

Cancellation by me

I reserve the right to cancel this agreement where you breach an essential term (i.e. nonpayment of the fee). I will only cancel this agreement if:

  • a situation arises out of my control (i.e. ‘acts of God’, war, strikes or labor disputes, embargoes, government orders or any other);
  • you repeatedly postpone the delivery date or request to change the services; or
  • an irreconcilable conflict of interest arises in relation to the delivery of the services.

In this extremely unlikely event, I will refund any money you have paid or invest this in an alternative service that I may provide you.

Cancellations by you

Cancellation more than 30 days from the Delivery Date

If you wish to cancel or reduce the scope of the services outside of 30 days of the delivery date, then I will retain 50% of the service fee.

Cancellations by you 30 days (or less) from the Delivery Date

If you wish to cancel or reduce the scope of the services within 30 days of the delivery date, you will be liable for the whole service fee and will not be entitled to receive any partial or full refund.

Postponements and changes

Postponements generally

I will try my best to accommodate any requests to postpone under this agreement. However, if you request that we postpone or change the scope of the services, I may retain or allocate any monies received from you to offset any losses resulting from your request to postpone or change the services. 

These losses may include:

  • the opportunity cost of prioritising the provision of the services to you over time spent with or for other clients; and/or
  • any pre-incurred travel, accommodation or other expenses that cannot be refunded.

Change of Services / Delivery Date

If you require a change of the services and/or the delivery date I will provide you with a proposal for your approval.

Repeated Postponements

I will do my best to accommodate a request to postpone the services or change the delivery period. However, where you repeatedly request that we postpone, I reserve the right to terminate this agreement and retain all monies received from you to offset my losses.

Intellectual Property

I retain all ownership

You acknowledge that I own (and retain ownership of) all intellectual property used in the delivery of the services. Where I use or refer to other people's intellectual property, I will note this and attribute appropriately.

Recording only permitted with prior written approval

You may only record the services if you have obtained my prior written approval. I may withhold that approval for any reason.

Where I authorise you to record the services, I ask that you:

  • provide me with a master copy of the recording before publishing or distributing;
  • only publish or distribute the recording after receiving written approval from my team or me (we may, in our sole discretion, withhold our approval for any reason);
  • only use the recording for education within your organisation; and
  • not reproduce, distribute, publish or on-sell the services or my intellectual property to any person or organisation outside of your organisation (this includes uploading the recording to YouTube, LinkedIn, your public blog or any other open platform).

Attribution

You must always acknowledge and correctly attribute Paul McGregor:

  • in any recording of the services; and
  • as the author of any provided materials.

Phew - that's a lot.

But this should prevent surprises. And it gives us a roadmap should something go awry.
